Sourcefolio Terms & Conditions

1. About Sourcefolio

Sourcefolio is a software platform designed to help property professionals, investors, businesses, and related users organise information, manage relationships, create deal presentations, share investment opportunities, track tasks, and manage workflows.

Sourcefolio provides software tools only.

Sourcefolio is not:

• a financial adviser;
• an investment adviser;
• a property investment company;
• a broker;
• a regulated investment platform;
• a solicitor, accountant, tax adviser, or other professional adviser.

Sourcefolio does not arrange investments, recommend investments, verify investment opportunities, conduct due diligence on deals, or guarantee investment outcomes.

Any investment, property, financial, or business decisions made using information stored, displayed, calculated, or generated through the Platform are made entirely at your own risk.

2. Eligibility and Account Responsibilities

You must be at least 18 years old to use Sourcefolio.

By creating an account, you confirm that:

• you are legally capable of entering into these Terms;
• all information provided by you is accurate and current;
• you will keep your login details secure;
• you are responsible for all activity carried out through your account.

You must notify us promptly if you believe your account has been compromised.

You are responsible for maintaining appropriate access controls for your account, team members, investors, clients, and any other individuals you provide access to.

3. Acceptable Use

You agree that you will not:

• use the Platform for unlawful purposes;
• upload fraudulent, misleading, defamatory, or illegal content;
• attempt to gain unauthorised access to the Platform;
• bypass usage limits or security controls;
• interfere with Platform functionality;
• introduce malicious software;
• misuse investor, customer, supplier, or third-party information;
• use Sourcefolio to provide regulated financial services without the appropriate permissions.

We reserve the right to suspend or terminate accounts where we reasonably believe misuse, unlawful activity, security risks, or harm to other users may occur.

4. Subscription Plans and Payments

• Sourcefolio may be offered through paid subscriptions, free trials, promotional access, or invite-only access.
• Subscription plans, features, usage limits, and pricing may vary.
• Payments are processed through third-party payment providers such as Stripe. We do not store complete payment card details on our own systems.
• Subscription fees are charged in accordance with the plan selected at registration.
• Unless required by law, subscription payments are non-refundable.
• If you cancel your subscription, access will continue until the end of your current billing period unless otherwise stated.
• We may change subscription pricing, features, or limits by providing reasonable notice.

4a. Lifetime Access

• "Lifetime access" refers to the operational lifetime of the Sourcefolio platform, not the natural lifetime of the customer. Access continues for as long as Sourcefolio continues to operate the service.
• We make no guarantee that the Platform will remain available for any specific period. Sourcefolio may be discontinued, paused, restructured, sold, or shut down at any time.
• Lifetime members receive all future updates to the Pro tier at no additional cost for as long as the Platform operates. We do not, however, guarantee that any particular update, feature, roadmap item, or integration will be released, kept, or maintained.
• Feature composition, plan structure, and usage limits may change over time as the service evolves. Lifetime access is to Pro-tier functionality as it exists from time to time, not to any specific frozen version.
• A 7-day money-back guarantee applies to lifetime purchases: contact support within 7 days of purchase and we will refund the payment in full, no questions asked. After 7 days from the date of purchase, all lifetime payments are final and non-refundable.
• Lifetime access is granted to a single account, is non-transferable, and may not be resold, shared, or used to circumvent seat or team-plan pricing. Abuse of the lifetime grant, chargebacks after the refund window, or breach of these Terms may result in the access being revoked without refund.
• Access to third-party services (payment processing, mapping, email delivery, AI providers, storage, hosting) is subject to those providers' continued availability and pricing. If a third-party dependency becomes unavailable or economically unviable, the corresponding feature may be modified or removed.
• Where lifetime access is used alongside team functionality, only Pro-tier entitlements are covered. Team-seat, Business-tier, or add-on features remain subject to their own pricing.

5. Data, Content and User Responsibility

You retain ownership of all information, documents, images, data, deal details, CRM records, and other materials uploaded by you ("User Content").

You are solely responsible for:

• ensuring you have the legal right to upload and process User Content;
• ensuring information provided to investors, customers, partners, or other users is accurate;
• obtaining any required permissions or consents before storing personal information;
• complying with applicable laws relating to your business activities.

Sourcefolio does not verify, approve, guarantee, or endorse information uploaded by users.

You acknowledge that information stored within Sourcefolio may include confidential commercial information and you are responsible for managing who receives access to that information.

6. Investor Portals and Shared Links

Sourcefolio may allow users to create investor portals, shared deal pages, or access links.

You are responsible for:

• deciding who receives access;
• ensuring recipients are authorised to view information;
• removing access when appropriate;
• ensuring shared information complies with applicable laws and agreements.

You must not share confidential information belonging to another person without appropriate permission.

Sourcefolio is not responsible for unauthorised sharing caused by user actions, incorrect permissions, compromised accounts, or misuse of shared links.

7. Investment Information and Calculations Disclaimer

Sourcefolio may provide tools including calculators, estimated returns, yields, cash-flow calculations, projections, and other financial summaries.

These tools are provided for informational and organisational purposes only.

Calculations:

• may contain assumptions;
• may depend on user-provided information;
• may not reflect actual outcomes;
• are not guarantees of performance.

Sourcefolio does not provide financial, investment, tax, legal, or property advice.

You must perform your own due diligence and seek independent professional advice before making financial decisions.

8. Third-Party Services

Sourcefolio relies on third-party providers, which may include hosting providers, database providers, payment processors, mapping services, analytics providers, authentication providers, and software infrastructure providers.

Examples may include:

• Stripe;
• database and hosting providers;
• Google Maps services;
• other technology providers required to operate the Platform.

We are not responsible for failures, outages, interruptions, security incidents, changes, or losses caused by third-party services.

We will take reasonable steps to maintain availability but do not guarantee uninterrupted access.

9. Data Storage, Security and Backups

We take reasonable technical and organisational measures designed to protect information stored within the Platform.

However, no online service can guarantee complete security.

You acknowledge that:

• no system is completely immune from cyber attacks;
• data loss may occur due to circumstances outside our reasonable control;
• internet-based services may experience interruption;
• you should maintain independent copies of critical information where appropriate.

We are not responsible for losses caused by events outside our reasonable control, including cyber attacks, third-party failures, user error, accidental deletion, or infrastructure failures, except where caused by our breach of applicable legal obligations.

10. Intellectual Property

All Sourcefolio software, designs, branding, systems, features, workflows, and original materials remain the property of Sourcefolio or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your business purposes.

You must not:

• copy;
• reverse engineer;
• reproduce;
• resell;
• distribute;
• modify;
• create competing products from;

any part of the Platform without written permission.

11. Limitation of Liability

The Platform is provided on an "as available" basis.

To the maximum extent permitted by law, Sourcefolio excludes liability for:

• loss of profits;
• loss of business opportunities;
• investment losses;
• loss of reputation;
• indirect or consequential losses;
• decisions made based on information stored or generated through the Platform.

Nothing in these Terms excludes liability that cannot legally be excluded, including liability for fraud, fraudulent misrepresentation, or other liability required under applicable law.

Subject to the above, our total liability arising from your use of the Platform shall not exceed the greater of:

• (a) the subscription fees paid by you during the 12 months before the event giving rise to the claim; or
• (b) £100 where you have not paid subscription fees.

12. Account Suspension and Termination

We may suspend or terminate access where:

• these Terms are breached;
• misuse or fraudulent activity occurs;
• security risks arise;
• continued access may harm Sourcefolio or other users.

Upon termination, your licence to use the Platform ends.

Data handling after termination will be managed in accordance with our Privacy Policy and applicable retention requirements.

13. Privacy and Data Protection

Your use of Sourcefolio is also governed by our Privacy Policy.

We process personal information in accordance with applicable UK data protection laws, including the UK GDPR and Data Protection Act 2018.

14. Changes to These Terms

We may update these Terms from time to time.

Where changes are significant, we will provide reasonable notice.

Continued use of Sourcefolio after changes take effect means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the courts of England and Wales, unless applicable law requires otherwise.
